Services Agreement

This Agreement sets out the terms under which FirstPoint Tech ("FirstPoint," "we," "us") provides website design, AI phone receptionist, and related services to you ("Client," "you"). By paying a deposit or instructing us to begin work, you agree to these terms.

1.Services

FirstPoint will provide the services agreed in writing (by email, text, or quote). For website builds, the specific features, number of pages, and deliverables are defined by the selected package (Starter, Pro, or Premium) and any add-ons agreed before work begins. For the AI Phone Receptionist, the scope is described in Section 8. Work outside the agreed scope is considered additional and may be quoted separately.

Most one-page websites are completed within 3–5 business days after we receive all required content and the deposit. This timeline depends on the Client providing materials promptly. If requested content, feedback, or approvals are delayed, the project timeline will be paused and extended by an equivalent amount of time. FirstPoint is not responsible for delays caused by late or incomplete materials from the Client.

4.Revisions

Each build includes up to two (2) rounds of revisions to refine the design. Additional revisions or changes beyond the included rounds are billed at $75 per hour, with a one-hour minimum. Clients on an active monthly maintenance plan receive small edits as described in Section 7.

5.Client Responsibilities

The Client is responsible for providing accurate business information and any text, photos, logos, or other materials needed for the website. The Client confirms that they own or have the right to use all materials they provide, and that these materials do not infringe on anyone else's rights. FirstPoint is not liable for any claims arising from content supplied by the Client.

6.Ownership

Upon receipt of full and final payment, ownership of the completed website and its custom content transfers to the Client. Until final payment is made, all work remains the property of FirstPoint. Third-party components, fonts, stock images, or tools remain subject to their own licenses. FirstPoint may display the completed work in its portfolio and marketing unless the Client requests otherwise in writing.

9.Cancellation & Refunds

If the Client cancels the project after paying the deposit, the deposit is non-refundable, as work and scheduling have already been committed. If FirstPoint is unable to complete the project, the Client will receive a refund for any portion of work not yet performed. Completed work up to the point of cancellation remains payable.

10.Limitation of Liability

FirstPoint provides services on a best-effort, professional basis but does not guarantee specific business results such as traffic, rankings, sales, or leads. To the fullest extent permitted by law, FirstPoint's total liability under this Agreement is limited to the amount paid by the Client for the services in question. FirstPoint is not liable for indirect, incidental, or consequential damages.

11.Third-Party Services

Websites may rely on third-party services (hosting, form handling, booking or ordering tools, payment processors, analytics, etc.). These services are governed by their own terms, and FirstPoint is not responsible for their availability, performance, or changes.

12.Governing Law

This Agreement is governed by the laws of the State of New Jersey. Any disputes will be handled in the appropriate courts located in New Jersey.
